Terms of Service

Please read these Terms of Service (“Terms”) carefully before using autotask.solutions or engaging Autotask Solutions for any automation, development, or consulting services. By accessing this website or placing an order, you agree to be bound by these Terms.

About Autotask Solutions

Autotask Solutions is an independent automation agency operated by Bhanu Sinha, based in Sribhumi, Assam, India. We provide professional services in:

  • Microsoft Excel and Google Sheets automation (VBA, Apps Script, Power Query)
  • Python scripting, automation, and data engineering
  • AI integration and intelligent workflow automation
  • Web application development (Django, Flask, React, and related technologies)
  • Web scraping, data extraction, and ETL pipelines
  • Technical consulting and process optimisation

We operate primarily through autotask.solutions and Upwork. These Terms apply to all clients regardless of the engagement channel.

Acceptance of Terms

By submitting a contact form, placing an order, making a payment, or engaging with our services in any way, you confirm that:

  • You are at least 18 years of age or have legal authority to enter into a binding agreement.
  • You have read and understood these Terms and agree to be bound by them.
  • If you are acting on behalf of a company or organisation, you have the authority to bind that entity.

Services & Deliverables

The specific scope, deliverables, timeline, and pricing for each engagement are agreed upon individually before work commences, either through a written proposal, a Upwork contract, or direct written communication (email).

  • All project requirements must be clearly communicated before work begins. Changes in scope after the project starts may affect timeline and cost.
  • We reserve the right to decline any project that we determine to be outside our expertise, unethical, or in violation of applicable laws.
  • Delivery timelines stated in proposals are estimates. We will communicate promptly if delays arise.
  • Acceptance of deliverables is considered to occur if no written objection is raised within 7 days of delivery.

Payment Terms

All payments are processed securely through Razorpay (Razorpay Software Private Limited). By making a payment, you also agree to Razorpay’s Terms of Service.

  • Advance payment: Most projects require a deposit (typically 50%) before work begins. The remaining balance is due upon delivery or at agreed milestones.
  • Fixed-price projects: Full payment or agreed instalments as specified in the project proposal.
  • Currency: Invoices may be issued in INR (Indian Rupees) or USD as agreed. Razorpay handles currency conversion where applicable.
  • Taxes: Applicable GST or other taxes will be added to invoices as required by Indian tax law. International clients are responsible for any taxes applicable in their jurisdiction.
  • Late payments: Work may be paused on overdue accounts. We reserve the right to charge interest on amounts overdue by more than 14 days at a rate of 2% per month.

Refunds & Cancellations

We are committed to delivering quality work. Our refund policy is as follows:

  • Before work begins: Full refund of any advance payment if cancellation is requested before any work has commenced.
  • During the project: Partial refund may be issued based on the proportion of work not yet completed, at our sole discretion.
  • After delivery: Refunds are not issued for completed and accepted work. If deliverables do not meet the agreed specifications, we will revise the work at no additional cost (within a reasonable number of revision rounds as agreed).
  • Upwork projects: Disputes on projects originated via Upwork are subject to Upwork’s dispute resolution process and their Terms of Service.

Intellectual Property

Upon receipt of full payment for a project, the client receives full ownership of all custom deliverables created specifically for that project — including but not limited to scripts, code files, spreadsheets, and web applications built to their specification.

  • Client data: Any data, files, or materials provided by the client remain the client’s property at all times.
  • Reusable components: We retain ownership of any generic, reusable libraries, utilities, or frameworks that were pre-existing or developed independently of the client’s project. The client receives a perpetual, royalty-free licence to use such components as part of the delivered solution.
  • Portfolio rights: We reserve the right to reference completed projects in our portfolio (e.g., on our website or Upwork profile) in a general, non-confidential manner, unless the client requests otherwise in writing.
  • Website content: All content on autotask.solutions — including text, logos, graphics, and code — is owned by Autotask Solutions and may not be reproduced without written permission.

Confidentiality

We treat all client data, project details, and business information as confidential. We will not disclose client information to third parties except as required to deliver the agreed services (e.g., using cloud infrastructure), or as required by law. Clients are encouraged to mark sensitive materials as confidential. Where required, we are happy to sign a mutual Non-Disclosure Agreement (NDA) prior to project commencement.

Limitation of Liability

IMPORTANT — PLEASE READ CAREFULLY

To the fullest extent permitted by applicable law, Autotask Solutions and Bhanu Sinha shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services or deliverables.

Our total liability for any claim arising out of a project shall not exceed the total fees paid by the client for that specific project in the 3 months preceding the claim.

We are not liable for:

  • Data loss or corruption resulting from the client’s own systems, third-party services, or failure to maintain backups.
  • Business interruption, lost profits, or lost revenue.
  • Errors or downtime caused by third-party services (e.g., cloud APIs, payment gateways, hosting providers).
  • Consequences arising from the client’s use of deliverables in ways not covered by the original specification.

Warranties & Disclaimer

We warrant that our work will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed specifications at the time of delivery.

Except as expressly stated above, all services and deliverables are provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that automated solutions will be free of bugs in all possible edge cases, but we will address reported issues within a reasonable timeframe during any agreed support or warranty period.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Assam, India.

Before initiating formal legal proceedings, both parties agree to first attempt to resolve any dispute through good-faith negotiation. Please contact us at hello.autotask.solutions@outlook.com so we can work towards a resolution.

Modifications to These Terms

We may revise these Terms at any time by updating this page. The revised Terms will take effect immediately upon posting. The “Last updated” date at the top of this page will reflect any changes. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
